



Our Founder/CEO shares details about our proposed Venture Fund
GridZero’s Self-Funding Strategy: Building Real Ventures, Not Just Ideas
Our Founder believes in building real businesses - that offer real change or impact - without relying solely on traditional venture capital or government funding. That’s why he formed ClubZERO Rewards as the self-funding engine that will allocate 25% of its paid membership dues over 4 years to the AngelPreneur Impact Fund LLC. (Impact Fund), being established as a dividend paying public company once formed.
The Impact Fund is a purpose-driven investment vehicle designed to build long-term shareholder value by launching and scaling commercially viable solutions to some of today’s most pressing environmental and social challenges We will be developing a proposed SEC Regulation Crowdfund (Reg CF) public offering of 2,500,000 non-voting Units at $2.00 each to raise up to $5 million in initial capital by June 2026. This will represent a 10% equity stake of the Impact Fund, which will own 90% of each of five (5) unique, companies listed below.
Prior to the proposed Reg CF offering, and in addition to funds already provided over the years by APVG, GridZero, as the Managing Member of the Impact Fund - is currently in the process of securing $1,000,000 in Convertible Loans from private investors (20 Loan Units @ $50,000 each) to fund the initial legal work, establish operations, and bring on the CEO's for each company. All will be structured as independent stand-alone businesses with their own experienced management teams.
In exchange for the 25% allocation of member dues, ClubZERO will own 35% of the Impact Fund equity, APVG, will own 35%, Loan Note Holders 10%, GridZero will own 10%, and Clear Blue Oceans Foundation 10%. The Impact
Fund will operate mainly as a centralized venture administrative management company with minimal employees.

Unlike traditional startups that burn investor capital with little return, our strategy is regenerative. Each venture will contribute back into the overall ecosystem - fueling the development of the others - generating dividend income for shareholders and our participating members. ClubZERO will use its earnings to further enhance its membership benefits, travel rewards and other offers members can obtain through use of their virtual BitZERO$ rewards currency. Through this self-funding model, we reduce our reliance on outside capital to create a self-sustaining cycle of funding, that will drive growth.

AgriVoltaic Resilience Centers Inc.
AgriVoltaic Resilience Centers will design and build large scale food, water and power resilience farming facilities for communities and private parties. Using solar powered canopies over citrus and produce crops, incorporating Vertical Access Wind Turbines (VAWT), these facilities generate power to make water from humidity and grow food entirely off the traditional power grid. Some locations will offer an Urban GrowSpace that grows produce for clients and local restaurants, and/or a Cannabis GrowSpace, to securely grow medical weed for those licensed outside their homes.

CommunityHUB Development Group Inc.
CommunityHUB Development Group (HUB Group) will build-out a network of CommunityHUB Transitional Housing & Support Centers, and leases them back to LifeRenewal Foundation, their owner and operator, to address working homeless individuals and families. The LifeRenewal Foundation may acquire the facilities after 10 years at 60% of the original construction build-out cost.
ClubZERO Rewards: Our Self-funding Growth Engine
To partially self-fund the companies shown above, we've created ClubZERO Rewards, a unique membership-based business model that shares monthly member dues to build our companies.

Under a membership dues revenue sharing agreement as shown below, the Impact Fund will receive 25% of the total adjusted gross membership dues income from 2026 through 2029 (four years). APVG, CBO Foundation and LifeRenewal Foundation also receive dues allocations to fund their projects and initiatives. The ClubZERO Rewards Trust will receive a 20% allocation to develop and fund travel rewards for member redemption.

The goal is to conduct a direct listing onto the Nasdaq stock exchange for ClubZERO in 2028, and to create a strong dividend paying public company long-term. Our projection indicate ClubZERO has the potential to become a multi-billion dollar public company.
